Dreamcatcher Adventures LLC

AGREEMENT

        THIS AGREEMENT is entered into                       , by and between Dreamcatcher Adventures LLC a Texas Corporation,  (hereinafter referred to as "Seller"), and   ___________________________________________                                                              (hereinafter referred to as "BUYER").

RECITALS

            A.        WHEREAS:   Seller has purchased a 60' x 16' luxury houseboat

                       HIN# _                                          _  a 25’ Cobalt 252  skiboat, a  wave runner and  a 50’ boat slip at Lake Travis Marina.

            B.        WHEREAS:   Seller  has issued 13 Units, the total that will be issued.

            C.        WHEREAS:    Seller desires to sell the 13 Units from Dreamcatcher Adventures  LLC, to 13 parties,

            E.         WHEREAS:    The buyer of any Unit from Dreamcatcher Adventures LLC is entitled to use the above described for a minimum of 4 weeks per year as hereinafter designated per attachment A.

            F.         WHEREAS:    Buyer desires to purchase 1 Unit from  Dreamcatcher Adventures  LLC from Seller:

            Now, THEREFORE, the undersigned parties mutually agree and covenant, for the consideration hereafter set forth and for other good and valuable consideration, as follows:

            1.         Seller has free and clear title to the 60' luxury houseboat, Cobalt, marina slip and waverunner

            2.         Seller hereby sells to Buyer and Buyer hereby purchases from Seller 1 Unit from Dreamcatcher Adventures LLC for the sum of   $_________   .

            3.         Upon payment of said   $__________  in FULL, Owner shall issue One Unit   to Buyer.        

4.         The 1 Unit, evidenced by  Certificate  # ___       , shall entitle Buyer to use the 60' luxury houseboat, Cobalt and waverunner owned by Dreamcatcher Adventures LLP, commencing at 8:00 AM on  the day of each of 4 trips, as specified by attachment A, until 9:00 AM on the specified  return date.

            5.         In addition to the amount paid to purchase the 1 Unit from Dreamcatcher Adventures  LLC  Buyer shall pay, no later than January 31^st of each year, a $1,200.00 Annual Maintenance Fee, (or such other annual fee as may be determined by  Dreamcatcher Adventures  LLC) which fee shall be used exclusively for the licensing, registration, taxes, maintenance, repairs, docking fees, insurance,  any other boat-related expenses or expenses deemed appropriate by Dreamcatcher Adventures LLC.      Said money shall be made payable to  Dreamcatcher Adventures LLC which shall hold all sums paid.

7.         Buyer shall be responsible to pay for  any other services ordered, said monies shall be paid directly to  Dreamcatcher Adventures LLC.

            8.         Dreamcatcher Adventures LLC, shall act as the Management Company of the vessel and shall schedule the use of the vessel and shall pay the costs of maintenance, repairs, insurance, docking, licensing, registration, etc.  Should Dreamcatcher Adventures LLC cease, for any reason what-so-ever, to act as the management and service company for the vessel, Dreamcatcher Adventures LLC, shall transfer to the succeeding Management Company  all monies in its  account held for the benefit of Dreamcatcher Adventures LLC.

.           9.         Buyer shall obey all Rules and Regulations approved by the officers of Dreamcatcher Adventures LLC, as now existing or as may be established by Dreamcatcher Adventures LLC.  Buyer further agrees that the violation of any such Rules and Regulations may result in the cancellation or termination of the rights of the Buyer to use the vessel as above described.

            10.       The amounts required to be paid by Buyer, pursuant to the contract, shall be as follows

            11.       Seller shall not be liable to Buyer  in the event that the Texas Department of Parks  & Wildlife and/or other authorized officials limit the launching of boats and /or vessels on Lake Travis.

            12.       Buyer acknowledges that the purchase of 1 Unit from Dreamcatcher Adventures LLC, is made not for the purchase of an investment or to make a profit; but rather for the sole purpose of obtaining access to and use of the houseboat.

            The parties to this Agreement agree that this transaction is taking place in the State of Texas.  All parties agree that this contract shall be governed by the Laws of the State of Texas and that all parties shall be subject to the Courts of the State of Texas.
